The registered office is the official address where a company is incorporated or registered, and it serves as the primary location for receiving all official communications. This address is also reflected in the company’s master data maintained by the Ministry of Corporate Affairs (MCA). Any change in the registered office—whether within the same city, jurisdiction, or to another state—must be updated with the MCA.
The Companies Act outlines a specific procedure for changing the registered office address, which varies based on the nature of the shift (within the city, within the same RoC jurisdiction, or across states). In all cases, shareholder consent and approval from the relevant Registrar of Companies (RoC) are mandatory.

The Registrar of Companies (RoC) must be notified of any change in the registered office within 30 days of the move by filing the required documents. If the office is being shifted to a different state, prior approval from both the RoC and the Regional Director (RD) is mandatory.
A registered office cannot be situated outside India.
All books of accounts must be maintained at the company’s registered office. However, if the Board of Directors decides to keep them at any other location within India, the company must notify the Registrar in writing, providing the complete address of the new location where the books are maintained.
